1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and USAEV.Press, Inc. ("USAEV.Press," "we," "us," or "our") governing your access to and use of the USAEV.Press platform, website, and related services (collectively, the "Services").

BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

2. Eligibility and Account Requirements

2.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts in your jurisdiction to use the Services. By using the Services, you represent and warrant that you meet these requirements.

2.2 Account Registration

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized access or security breach
• One person or entity per account; no account sharing
• We reserve the right to refuse service or terminate accounts at our discretion

2.3 Account Types

We offer multiple subscription tiers (Free, Starter, Growth, Pro, Agency, Enterprise) with varying features and limits. Enterprise accounts may have custom terms governed by separate agreements.

3. Acceptable Use Policy

3.1 Permitted Uses

You may use the Services to:

• Create, edit, and distribute press releases
• Generate AI-powered content for legitimate business purposes
• Manage media contacts and journalist relationships
• Track analytics and performance metrics
• Distribute content via authorized wire services and social media platforms

3.2 Prohibited Uses

You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Distribute false, misleading, defamatory, or fraudulent content
• Spam, harass, threaten, or abuse others
• Distribute malware, viruses, or harmful code
• Reverse engineer, decompile, or disassemble the Services
• Scrape, crawl, or use automated tools to access the Services without permission
• Circumvent usage limits, security measures, or access controls
• Resell or redistribute the Services without authorization
• Use the Services for illegal activities, including money laundering or terrorist financing
• Impersonate others or provide false information
• Interfere with or disrupt the Services or servers
• Create derivative works or competitive products based on the Services

4. Intellectual Property Rights

4.1 Your Content

You retain all ownership rights to content you create, upload, or distribute through the Services ("User Content"). By using the Services, you grant USAEV.Press a worldwide, non-exclusive, royalty-free license to:

• Store, process, and display your User Content to provide the Services
• Distribute your User Content via wire services, social media, and other channels you authorize
• Create derivative works (e.g., formatting, optimization) necessary to provide the Services
• Use aggregated, anonymized data for analytics and service improvement

4.2 USAEV.Press Property

The Services, including all software, design, text, graphics, logos, and trademarks, are owned by USAEV.Press and protected by copyright, trademark, and other intellectual property laws. You may not use USAEV.Press trademarks without written permission.

4.3 AI-Generated Content

Content generated using our AI tools (Ollama/llama3.1) is provided to you under the same license as User Content you create. You are responsible for reviewing and approving all AI-generated content before publication.

4.4 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant USAEV.Press the right to use such feedback without restriction or compensation.

5. Subscription and Payment Terms

5.1 Subscription Plans

Paid subscriptions are billed monthly or annually based on your selected plan:

• Free: $0/month - 1 release, 100 contacts
• Starter: $49/month - 5 releases, 1,000 contacts
• Growth: $149/month - 20 releases, 10,000 contacts
• Pro: $349/month - 100 releases, 50,000 contacts
• Agency: $749/month - Unlimited releases, white-label
• Enterprise: Custom pricing - Custom limits and features

5.2 Payment Processing

• Payments are processed securely through Stripe
• You authorize us to charge your payment method on a recurring basis
• All fees are non-refundable except as required by law or stated otherwise
• Prices are subject to change with 30 days' notice
• Failed payments may result in service suspension or termination

5.3 Cancellation and Refunds

• You may cancel your subscription at any time through account settings
• Cancellations take effect at the end of the current billing period
• No refunds for partial months or unused features
• We may offer pro-rated refunds at our sole discretion

5.4 Free Trial

Free trials are available for eligible new users. Trial periods and terms are specified at signup. You will be charged automatically unless you cancel before the trial ends.

6. Content Distribution

6.1 Wire Services

Distribution to wire services (IssueWire, EIN Presswire, Newswire.com, AccessNewswire) is subject to:

• Each service's terms and conditions
• Editorial guidelines and content standards
• Additional fees charged by the wire service
• We do not guarantee acceptance or publication by third-party services

6.2 Social Media Distribution

When distributing via Twitter, LinkedIn, Facebook, or Bluesky, you are subject to each platform's terms of service. You are responsible for maintaining valid API connections and permissions.

6.3 Journalist Contacts

You agree to comply with CAN-SPAM, GDPR, and other applicable anti-spam laws when contacting journalists. Unsolicited bulk emailing may result in account termination.

7. Warranties and Disclaimers

7.1 Service "As-Is"

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 No Guarantee of Results

We do not guarantee that:

• The Services will be uninterrupted, error-free, or secure
• Your press releases will achieve specific distribution, views, or engagement
• AI-generated content will be accurate, complete, or suitable for your purposes
• Third-party services will accept or publish your content
• Analytics data will be 100% accurate

7.3 Third-Party Services

We are not responsible for the availability, content, or policies of third-party services (wire services, social media platforms, OAuth providers, etc.).

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAKPRESS SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• COST OF SUBSTITUTE SERVICES
• PERSONAL INJURY OR PROPERTY DAMAGE

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO DAKPRESS IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless USAEV.Press, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from:

• Your use of the Services
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of applicable laws

10. Termination

10.1 By You

You may terminate your account at any time by contacting support@usaev.press or through account settings.

10.2 By USAEV.Press

We may suspend or terminate your account immediately if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay fees
• Pose a security or legal risk

10.3 Effect of Termination

Upon termination:

• Your access to the Services will cease immediately
• We may delete your account and User Content within 30 days
• You must pay any outstanding fees
• Sections that should survive termination (e.g., liability, indemnification) will remain in effect

11. Dispute Resolution

11.1 Informal Resolution

Before filing a claim, you agree to contact us at support@usaev.press to seek informal resolution. We will attempt to resolve disputes within 30 days.

11.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will be conducted in Windsor, Colorado.

11.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES INDIVIDUALLY AND WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS OR REPRESENTATIVE PROCEEDINGS.

11.4 Exceptions

Either party may seek injunctive relief in court for intellectual property disputes or violations of confidentiality obligations.

12. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law provisions. You consent to the exclusive jurisdiction of courts in Weld County, Colorado.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via:

• Email notification
• In-app notification
• Updated "Last Updated" date on this page

Continued use of the Services after changes constitutes acceptance. If you disagree with changes, you must discontinue use.

14. General Provisions

14.1 Entire Agreement

These Terms, along with our Privacy Policy and other referenced policies, constitute the entire agreement between you and USAEV.Press.

14.2 Severability

If any provision is found unenforceable, the remaining provisions will remain in effect.

14.3 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

14.4 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.

14.5 No Waiver

Failure to enforce any provision does not constitute a waiver of future enforcement.
